Vendor/Author Agreement
Electronic agreement entered in today by you and Horror Depot LLC, a Rhode Island limited liability company with its principal place of business located at 9 Marie Drive, Coventry, Rhode Island (Horror Depot) and “You, the agreeing vendor” Whereas, Horror Depot is providing a space for merchants at the event known as the Dark Reads located at The WaterFire Arts Center, 475 Valley St, Providence, RI 02908 on March 28, 2026. Whereas, vendor desires to procure space at the venue pursuant to the terms and condition set forth herein and Horror Depot is willing to license area to the vendor pursuant to this Agreement: Now therefore, in consideration of the foregoing, which are incorporated herein, the terms and terms and conditions set forth herein and upon other terms and conditions set forth herein, the parties agree as follow:
Space:
Horror Depot hereby grants a license to use designated as the space number given (as designated on Exhibit A, attached hereto and made part of, in the allocated space of Room (the “Space”). The space is to be used on March 28, 2026 from 8:00 a.m. (beginning with setup) until 8:00 p.m. (for the removal of Vendor’s property and cleanup). The Vendor shall be prepared to sell its products or provide services to the attendees of the event.
2. Fee:
Vendors shall pay Horror Depot in full for the chosen space value to reserve space. Space values include, but not limited to: $60. The Payment is non-refundable. The fee shall be paid to Horror Depot before February 28, 2026. Lack of final payment forfeits the reservation to be filled by someone on the waiting list.
3. Vendor/Artist State Requirements
A. Provide Sales Permit and/or Artist Exemption paperwork to Horror Depot prior to the event by agreed upon date.
B. Provide a bank check filled out to RI Division of Taxation, with the appropriate sales tax, along with tax paperwork turned in to Horror Depot at the end of the event.
C. Event Insurance may be purchased by the vendor. Horror Depot may not be held liable for any damages regardless if the status of insurance status.
4. Cancellation:
A. If the vendor cancels after full payment and after August 1, 2025 are not guaranteed a refund of any kind. If a vendor pays in full, but cancels before February 1, 2026 they are entitled to 50% of their full payment refunded.

6.Booths:
Vendors shall provide their own tables, chairs, signage, equipment to process credit card purchase (all of which shall fit within the secured space).
7. Prohibited Merchandise or Services:
Vendor shall not sell any illegal property, illegal substances, pornographic materials or sexually explicit materials nor offer any illegal services to any customer.
8. Identification:
Vendor shall indemnify, defend and hold Horror Depot, It's owner and manager, harmless of any loss, cost, damages, expenses, or liabilities of every type in nature, including any claims, expenses, liabilities, fines, penalties, suits and lawsuits, administrative proceedings, or criminal proceedings arising out of the conduct of the vendor, its employee(s) and/or customers, or the failure to act to prevent the event from which any claim may arise. Vendor hereby releases Horror Depot, its owner and manager from any and all liabilities or responsibilities of any type or nature of any loss or damage to equipment or property of the vendor, whether the loss or liability is covered by insurance or not.
9. AS IS:
A. Vendor accepts the Space and the Venue in an AS IS condition with all faults.
B. No vendor may encroach on the space of another vendor. Spaces paid for are for square footage of the entire allotted space.
10.No Assignment:
Vendor shall not assign any interest granted by the agreement to any person or entity, unless consented to by Horror Depot in writing, prior to the grant of any proposed assignment. If consent is granted, then the Vendor remains liable for the performance of this Agreement and the assignee shall be subject to the terms thereof.
11. Interference:
Vendor shall not interfere with any presentation, film showing, manuscript, reading, lecture, question and answer event, or with the operation of the business of any other vendor.
12. Restoration:
If any damage occurs to the Venue or if any repairs or replacement need to be made to the venue as a result of the vendor's conduct or conduct of vendor's employees and/or patrons.
13. Termination by Horror Depot:
A. Horror Depot may terminate the Agreement based on one or more of the following circumstances, including but not limited to:
B. Vendor fails to pay the sum due to be paid to Horror Depot when such sum is due and payable.
C. Failure of Vendor to perform any of its obligations set forth herein.
D. Failure to arrive within the appointed time slot for set-up.
E. Inappropriate behavior, language, or content that is reported as potential harassment or aggression.
F. In the event any of these occur, Horror Depot may have Vendor removed from the Space and Venue.
14. Choice of Law:
The Agreement shall be governed by and subject to the laws of the laws of Rhode Island, Rhode Island School of Design, and Providence County. Any legal actions, claims or demands shall be brought in a court of competent jurisdiction within Rhode Island.
By clicking the box, the parties have excluded or caused to be excluded this arrangement on the day and date first set forth above.
